Board resolutions are documents that memorialize decisions made by the Board of Directors. This is done on matters that have procedural implications where the board felt it necessary to create a stand-alone document to describe the rationale behind the decisions and the decision itself. It is distinguished from decision made at a Board Meeting and recorded only in the minutes in that it describes the issue, proposes and ratifies a solution and finishes with the actual signatures of each Board member approving.
